Part A - Introduction
1. Welcome to Guidra
1.1 About these Terms
These Terms & Conditions (“Terms”) govern your access to and use of Guidra, including our mobile applications, websites, software, services, communities, programmes, coaching services, events and any other products or services we make available from time to time (collectively, the “Services”).
Please read these Terms carefully before creating an account or using Guidra.
1.2 Who we are
Guidra is owned and operated by The Andrew Bull Companies Ltd, a company incorporated and registered in England and Wales.
Throughout these Terms:
- Guidra, we, us, and our refer to The Andrew Bull Companies Ltd and the Guidra platform.
- You and your refer to the individual or organisation using our Services.

1.3 Acceptance of these Terms
By creating an account, accessing Guidra or using any of our Services, you confirm that:
- you have read these Terms;
- you understand these Terms; and
- you agree to be legally bound by them.
If you do not agree to these Terms, you must not use Guidra.
1.4 Additional Terms & Policies
Certain Guidra Services are also governed by additional terms and policies. These documents form part of your agreement with Guidra where they apply.

Where you use a Service covered by one of these documents, you also agree to the applicable policy or terms.
If there is any conflict between these Terms and a service-specific agreement, the service-specific agreement will apply to that Service to the extent of the conflict.
1.5 Eligibility
You may only use Guidra if:
- you have the legal capacity to enter into a binding agreement;
- you comply with these Terms; and
- your use of Guidra is permitted under the laws that apply to you.
Some Services may have additional eligibility requirements, including minimum age requirements.
1.6 Changes to these Terms
We may update these Terms from time to time as Guidra develops, our Services change, or the law requires.
Where required by law, we will provide reasonable notice of material changes before they take effect.
By continuing to use Guidra after updated Terms become effective, you agree to the revised Terms.
If you do not agree with the updated Terms, you should stop using Guidra and, where applicable, cancel any ongoing subscriptions before the next renewal date.
1.7 Our Purpose
Guidra is designed to help people live and lead with greater clarity, intention and purpose.
Our Services are intended to support reflection, planning, learning and personal growth.
While Guidra may provide software tools, AI-assisted features, coaching, educational content, communities and other forms of support, you remain responsible for your own decisions, actions and outcomes.
Nothing within Guidra transfers responsibility for your life, relationships, finances, health, business or other personal decisions from you to Guidra, our coaches or our technology.
Part B – Accounts & Using Guidra
2. Your Guidra Account
2.1 Creating an Account
You may need to create a Guidra account to access some or all of our Services.
When creating an account, you agree to provide accurate, complete and up-to-date information and to keep that information reasonably current.
You are responsible for ensuring that the information you provide is truthful and does not impersonate another person.
2.2 Account Security
You are responsible for maintaining the security of your account, your devices and any authentication methods used to access Guidra.
You must take reasonable steps to prevent unauthorised access to your account and notify us promptly if you believe your account has been compromised.
You are responsible for all activity that takes place through your account unless the activity results directly from our negligence or a security failure for which we are legally responsible.
2.3 Your Privacy Key
Some private content within Guidra is encrypted on your device before it is stored using encryption designed to protect your privacy.
Where this applies, only you hold the privacy key required to decrypt your encrypted private content.
Guidra does not retain a copy of your privacy key and cannot generate, recover or replace it.
If you lose your privacy key, or permanently lose access to the devices or recovery methods associated with it, you may permanently lose access to your encrypted private content.
You are responsible for protecting your privacy key, your recovery methods and your devices.
2.4 One Account Per Person
Unless we expressly agree otherwise, each Guidra account is intended for use by a single individual.
You must not share your account credentials with another person or allow another person to use your account on your behalf.
Business, organisation and team accounts may be subject to separate terms.
3. Your Responsibilities
3.1 Personal Responsibility
Guidra is designed to support your personal growth, reflection, organisation and decision-making.
You remain solely responsible for your own decisions, actions and outcomes.
Neither Guidra, our coaches, our communities, our AI systems nor our content take responsibility for decisions relating to your personal life, relationships, family, health, finances, investments, business or any other matters that remain your responsibility.
3.2 Keeping Your Information Safe
You are responsible for keeping your account details, devices and recovery methods secure.
If you believe your account has been accessed without your permission, you should notify us as soon as reasonably possible.
3.3 Maintaining Important Records
While we work to provide a reliable service, you should not rely upon Guidra as the sole repository for information that is important to you.
You are responsible for maintaining copies of any information that you consider essential, particularly where its loss could have significant personal, professional, financial or legal consequences.
4. Acceptable Use
You agree to use Guidra lawfully, responsibly and respectfully.
You must not:
- use Guidra for any unlawful purpose;
- upload or distribute illegal, fraudulent or deceptive content;
- impersonate another person or organisation;
- interfere with the operation, security or availability of Guidra;
- attempt to gain unauthorised access to our systems or another person’s account;
- upload malicious software, viruses or other harmful code;
- reverse engineer, decompile or attempt to extract the source code of Guidra except where permitted by law;
- use automated systems to scrape, harvest or copy content without our written permission;
- misuse AI features or attempt to manipulate or abuse our systems;
- harass, threaten, bully or intimidate other users, coaches, staff or community members;
- engage in conduct that damages the safety, wellbeing or reputation of the Guidra community.
Additional behavioural expectations, moderation processes and enforcement are described in our Community Standards, which form part of these Terms.
5. Community Participation
Guidra is built around trust, respect and constructive participation.
Where you participate in communities, coaching programmes, events, circles or other shared experiences, you agree to behave respectfully towards other participants and our team.
We may moderate discussions, remove content or take other reasonable steps to maintain a safe and welcoming environment.
Participation in Guidra’s communities and events is a privilege, not a right.
6. Suspension and Termination of Access
6.1 Suspension
We may temporarily suspend access to some or all of our Services where we reasonably believe it is necessary to:
- protect the security or integrity of Guidra;
- investigate suspected breaches of these Terms;
- protect other users, coaches or staff;
- comply with legal or regulatory obligations; or
- prevent fraud, abuse or unlawful activity.
6.2 Permanent Removal
We may permanently suspend or terminate your account, or refuse access to any part of Guidra, where you materially or repeatedly breach these Terms, our Community Standards or any applicable service-specific terms.
This may include removing you from:
- the Guidra platform;
- communities;
- coaching programmes;
- circles;
- events;
- retreats; or
- future Guidra services.
A subscription, programme purchase or event booking does not guarantee an ongoing right to access Guidra where your conduct breaches these Terms or our Community Standards.
6.3 Effect of Suspension or Termination
Suspending or terminating your account does not automatically cancel any outstanding contractual payment obligations that arose before the suspension or termination took effect.
Any provisions of these Terms that are intended to survive termination will continue to apply after your use of Guidra ends.
Part C – The Guidra Services
7. The Services We Provide
7.1 Our Services
Guidra is a personal operating system designed to support intentional living, personal growth and leadership.
Depending on your subscription, purchases and availability, Guidra may provide access to:
- software applications;
- websites;
- AI-assisted features;
- journals and reflection tools;
- planning and goal-setting tools;
- habits, rituals and reminders;
- insights and progress tracking;
- educational content;
- coaching and consulting services;
- communities and circles;
- programmes, workshops and courses;
- retreats, experiences and events; and
- other products or services that we introduce from time to time.
Not every feature is available to every user, subscription or country.
7.2 Service Availability
We continually improve Guidra and may introduce, modify, replace or discontinue features, products or services.
We do not guarantee that every feature, product or service will remain available indefinitely.
Where reasonably possible, we will seek to minimise unnecessary disruption when making significant changes.
7.3 Access to Services
Access to particular features, communities, communication channels, programmes, events and other Services depends upon the products, subscriptions or services you have purchased or are otherwise entitled to access.
Some Services may include access to specific features for a defined period, while others may require an active subscription or ongoing membership.
Where service-specific terms apply, those terms govern the access rights associated with that particular Service.
7.4 Premium, Communities, Events and Coaching
Guidra may offer different access layers and commercial products. These may include:
- free access to selected platform features;
- a Guidra Premium subscription;
- communities or circles included with Premium;
- communities, circles or groups that require a separate subscription or purchase;
- live events, workshops, cohorts, retreats or experiences that require Premium, a separate ticket or both; and
- coaching, consulting or professional services purchased separately.
Premium does not include paid coaching sessions, paid programmes, paid retreats, paid circles, paid groups or paid event tickets unless we expressly say so before purchase.
Some experiences may require an active Premium subscription as an eligibility condition. Others may require a separate subscription, application, invitation, one-off payment or service agreement.
8. Artificial Intelligence
8.1 AI Features
Some Guidra Services use artificial intelligence (“AI”) to assist with planning, reflection, organisation, coaching support, insight generation, writing assistance and other features.
AI features are intended to support your thinking and decision-making. They are not intended to replace your own judgement.
8.2 Availability of AI
AI features depend upon technology, infrastructure and third-party providers that are outside Guidra’s control.
We do not guarantee that AI features will always be available, remain unchanged or continue to form part of Guidra.
We may introduce, modify, suspend or remove AI functionality at any time.
8.3 Accuracy
AI-generated content may be incomplete, inaccurate, outdated or inappropriate for your circumstances.
You should exercise your own judgement before relying on any AI-generated response.
8.4 Professional Advice
Neither Guidra nor its AI features provide legal, medical, psychiatric, psychological, therapeutic, financial, investment, tax or other regulated professional advice.
Where you require advice from an appropriately qualified professional, you should seek that advice directly.
8.5 Your Decisions
You remain solely responsible for the decisions you make and any actions you take based on AI-generated content or suggestions.

9. Coaching, Consulting and Educational Services
9.1 Nature of Our Services
Guidra may offer coaching, consulting, mentoring, educational programmes, workshops, courses, retreats, events and similar services.
These services are intended to support learning, reflection, accountability and personal development.
Unless expressly stated otherwise, they do not constitute regulated professional advice.
9.2 Your Responsibility
Coaches, consultants and facilitators help structure conversations, ask questions, share knowledge and support your development.
You remain responsible for your own decisions, actions and outcomes.
Neither Guidra nor any independent coach guarantees particular personal, professional, financial, business, relationship or health outcomes.
9.3 Independent Coaches
Some coaching services may be provided by independent coaches using the Guidra platform.
Unless expressly stated otherwise, independent coaches are responsible for the coaching services they provide, while Guidra remains responsible for operating the platform through which those services are offered.
Coaching, consulting, programmes, retreats, workshops and other professional services are also governed by our Professional Services Terms.
10. Health, Wellbeing and Fitness
10.1 General Information
Guidra may include features relating to health, wellbeing, exercise, sleep, nutrition, habits, mindfulness or similar topics.
These features are provided for general educational, organisational and reflective purposes only.
10.2 Medical Disclaimer
Nothing within Guidra, including AI-generated content, coaching, educational material, reminders, insights or habit suggestions, is intended to diagnose, treat, prevent or cure any medical or mental health condition.
If you have concerns regarding your physical health or mental health, you should seek advice from an appropriately qualified doctor, physician or other licensed healthcare professional.
10.3 Emergency Situations
Guidra is not an emergency service.
You should not rely upon Guidra, its coaches or its AI systems in situations requiring urgent medical, mental health, legal or emergency assistance.
11. Notifications and Reminders
11.1 Reminder Features
Guidra may provide reminders and notifications relating to habits, rituals, medicines, appointments, coaching sessions, events, reflections or other activities.
These reminders are intended to support organisation and consistency.
11.2 No Guarantee of Delivery
Notification delivery depends upon factors outside Guidra’s control, including device settings, internet connectivity, operating systems and third-party notification services.
Accordingly, we do not guarantee that notifications or reminders will be delivered, delivered on time or seen by you.
11.3 Your Responsibility
You remain responsible for taking medication, attending appointments, meeting deadlines and managing any other time-sensitive responsibilities, regardless of whether Guidra sends a reminder.
12. Third-Party Platforms and Services
12.1 Third-Party Providers
Some parts of Guidra depend upon third-party platforms, technologies and service providers.
These may include app stores, payment providers, cloud infrastructure, notification services, AI providers and authentication providers.
12.2 Platform Availability
We do not guarantee that Guidra will always be available through any particular platform, operating system, application marketplace or distribution channel.
We may decide to change how Guidra is distributed, including moving between mobile applications, web applications or other platforms, where we consider it appropriate.
12.3 Third-Party Terms
Some third-party services may be subject to their own terms and privacy policies.
Your use of those services may also be governed by those third-party terms.
Part D – Payments, Subscriptions and Refunds
13. Pricing
13.1 Prices
The prices for our Services are those displayed at the time you place your order or subscribe.
All prices are stated in the applicable currency and may include or exclude taxes, duties or other charges where indicated.
13.2 Price Changes
We may change the price of our Services from time to time.
Price changes will not affect purchases that have already been completed.
For subscriptions, any price changes will apply from the next renewal date following reasonable notice, where required by law.
14. Payment
14.1 Payment in Advance
Unless we expressly agree otherwise, payment is required in advance for the Services you purchase.
Subscriptions are paid in advance for each upcoming billing period.
14.2 Payment Methods
We may choose which payment methods we accept for particular Services, countries or customers.
We are not obliged to accept every payment method.
14.3 Payment Processing
Payments may be processed through third-party payment providers.
By making a payment, you also agree to comply with any applicable terms of those payment providers.
14.4 Currency and Fees
Unless we expressly state otherwise, all prices are payable in the currency displayed at the time of purchase.
Any exchange rate fluctuations, bank charges, card fees, transfer fees or similar charges applied by your payment provider are your responsibility.
Guidra must receive the full purchase price for the Service purchased.
15. Subscriptions
15.1 Subscription Services
Some Guidra Services are provided on a recurring subscription basis.
Your subscription gives you access to the features included within your chosen subscription plan during the relevant billing period.
App subscriptions may be managed through Apple, Google, RevenueCat or another payment provider. Where a third-party platform manages the subscription, cancellation, renewal and refund processes may also be governed by that platform’s own rules.
15.2 Automatic Renewal
Unless cancelled before the renewal date, subscriptions automatically renew for successive billing periods and the applicable subscription fee will be charged using your selected payment method.
15.3 Cancelling a Subscription
You may cancel your subscription at any time.
Cancellation prevents future renewals but does not affect your access to the subscription for the remainder of the billing period that has already been paid for.
15.4 Subscription Changes
We may introduce, remove or modify subscription plans and the features included within those plans.
We do not guarantee that any particular feature, usage allowance or subscription tier will remain available indefinitely.
16. Instalment Payments
16.1 Payment Plans
For certain Services, we may agree to accept payment by instalments.
Unless we expressly state otherwise, an instalment plan is a payment arrangement only and does not create a series of separate contracts.
16.2 Commitment
Where you enter into an agreement for a programme, coaching package, consulting engagement, retreat, experience or similar Service, you become responsible for the full purchase price once:
- the agreement is accepted by both parties;
- you confirm your booking; or
- you make the first instalment or other payment that forms part of that agreement,
whichever occurs first.
Your decision to pay by instalments does not reduce your obligation to pay the agreed total price.
17. Refunds
17.1 General Principle
Our refund position depends on the type of Service you purchase.
Any rights you have under applicable consumer protection laws remain unaffected.
17.2 App Subscriptions
Subscription fees are paid in advance for the upcoming billing period.
You may cancel a subscription at any time. Cancellation stops future renewals and your subscription access will normally continue until the end of the period you have already paid for.
Refund rights may depend on the law that applies where you live, how the purchase was made and whether the subscription was purchased through Guidra, Apple, Google or another third-party platform.
17.3 Coaching, Programmes and Experiences
Coaching services, consulting engagements, programmes, workshops, courses, retreats, experiences and events may have firmer cancellation and refund terms because they often require us to reserve time, people, venues, accommodation, capacity or other resources in advance.
The applicable cancellation and refund terms will normally be explained before purchase or included in the agreement for that Service.
17.4 Exceptions
Where we choose to offer a different cancellation or refund policy for a particular Service, that policy will be made available before you complete your purchase.

18. Failed Payments
18.1 Failure to Pay
If a payment cannot be successfully collected, we may:
- retry the payment;
- ask you to use a different payment method;
- suspend access to the relevant Service until payment is received; or
- cancel access where payment remains outstanding.
18.2 Outstanding Amounts
You remain responsible for paying all amounts properly due under your agreement with Guidra.
We reserve the right to recover unpaid amounts using lawful means.
19. Promotional Offers
From time to time we may offer discounts, promotional pricing, free trials or other special offers.
Unless expressly stated otherwise:
- promotions cannot be combined;
- promotions have no cash value;
- promotions may be withdrawn or amended at any time before they are accepted; and
- promotional pricing applies only for the period expressly stated in the relevant offer.
Part E – Your Content & Privacy
20. Your Content
20.1 Ownership
You retain ownership of the content that you create, upload or share through Guidra.
This may include, for example:
- journals and reflections;
- goals, plans and notes;
- messages;
- photographs and images;
- audio recordings;
- community posts and comments; and
- other content that you create.
Nothing in these Terms transfers ownership of your content to Guidra.
20.2 Responsibility for Your Content
You are responsible for all content that you upload, publish or otherwise make available through Guidra.
You confirm that:
- your content is truthful to the best of your knowledge;
- you have the right to use and share your content;
- your content does not infringe another person’s copyright, intellectual property or other legal rights; and
- your content complies with these Terms, our Community Standards and applicable law.
If your content gives rise to a legal claim because it infringes another person’s rights, you remain responsible for that content.
21. Licence to Guidra
21.1 Operating the Services
By uploading or creating content within Guidra, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, encrypt, process, reproduce and display that content only as reasonably necessary to operate, maintain, improve and provide the Services you have chosen to use.
This licence does not transfer ownership of your content to Guidra.
21.2 Community Content
Where you publish content within a Guidra community, circle or similar shared space, you grant us permission to display that content to other members of that community in accordance with your privacy and visibility settings.
We may also:
- pin posts;
- feature discussions;
- organise content;
- highlight valuable contributions within Guidra; and
- moderate community content in accordance with our Community Standards.
21.3 Use Outside Guidra
We will not publish your community posts, comments, photographs or other user-generated content outside Guidra without your permission, unless we are legally required to do so or the content has already been made public by you through another lawful means.
22. Community Content
22.1 Respecting the Community
Communities within Guidra are built on trust.
Unless the original author has given permission, you should not copy, reproduce, distribute, publish or share another person’s community content outside the relevant Guidra community.
We ask all members to respect the privacy and confidence of others.
22.2 Respecting Intellectual Property
You should only post content that you have created yourself or that you otherwise have permission to share.
You must not knowingly upload material that:
- infringes copyright;
- infringes trademarks or other intellectual property rights;
- has been plagiarised;
- has been copied without permission; or
- otherwise violates the rights of another person or organisation.
This applies equally to written content, images, audio, video and AI-generated material.
22.3 Community Moderation
We may remove, edit, restrict or moderate community content where we reasonably believe it breaches these Terms, our Community Standards or applicable law.
Where appropriate, we may also suspend or remove users responsible for repeated or serious breaches.
Further expectations regarding behaviour within Guidra communities are described in our Community Standards.
23. Privacy
23.1 Our Commitment
Protecting your privacy is one of Guidra’s core principles.
Our collection, use, storage and protection of personal information are described in our Privacy Policy, which forms part of your agreement with us.
23.2 Private Content
Certain private content within Guidra is encrypted on your device before being stored.
Where this applies, Guidra is designed so that we cannot read the encrypted content through our backend systems.
24. Your Privacy Key
24.1 Your Responsibility
Where encrypted private content is protected by a privacy key, you are responsible for maintaining access to that key and any associated recovery methods.
Guidra does not hold a copy of your privacy key and cannot replace, recover or regenerate it.
24.2 Loss of Access
If you permanently lose your privacy key, or permanently lose access to the devices or recovery methods associated with it, you may permanently lose access to your encrypted private content.
Because Guidra does not possess your privacy key, we cannot decrypt or recover that content for you.
25. Data Retention and Account Deletion
25.1 Closing Your Account
You may request to close your Guidra account in accordance with our Privacy Policy and any applicable service-specific terms.
Some information may be retained where required by law or where reasonably necessary to establish, exercise or defend legal claims.
25.2 Encrypted Content
Where encrypted private content has become inaccessible because your privacy key has been lost, Guidra cannot restore access to that content.
25.3 Deleting Content
Where you choose to permanently delete content or your account, that decision may be irreversible.
You are responsible for ensuring that you have retained copies of any information you wish to keep before requesting deletion.
25.4 Keeping Your Own Records
Although we work to provide a reliable service, you should not rely upon Guidra as the sole repository for information that is important to you.
You are responsible for maintaining copies of information that you consider essential, particularly where its loss could have significant personal, professional, financial or legal consequences.
Part F – Intellectual Property
26. Guidra Intellectual Property
26.1 Ownership
Unless otherwise stated, Guidra and its licensors own all intellectual property rights in the Guidra platform and Services.
This includes, without limitation:
- the Guidra name and branding;
- logos and trade marks;
- software and source code;
- user interface designs;
- graphics, icons and layouts;
- written content created by Guidra;
- educational materials;
- videos and audio created by Guidra;
- databases;
- documentation; and
- any other content created by or for Guidra.
These rights are protected by copyright, trade mark and other intellectual property laws.
26.2 No Transfer of Ownership
Using Guidra does not give you ownership of any intellectual property belonging to Guidra.
All rights not expressly granted to you remain reserved.
27. Your Right to Use Guidra
27.1 Limited Licence
Subject to these Terms, Guidra grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Services for their intended purpose.
This licence exists only for as long as you comply with these Terms.
27.2 Restrictions
Unless we have given our prior written permission, you must not:
- copy, reproduce or redistribute substantial parts of Guidra;
- sell, sublicense or commercially exploit the Services;
- modify or create derivative works from Guidra software;
- remove copyright, trade mark or proprietary notices;
- reverse engineer or decompile Guidra except where permitted by law; or
- use Guidra in any way that infringes our intellectual property rights.
28. Trade Marks and Branding
“Guidra”, the Guidra logo and any associated branding are the property of The Andrew Bull Companies Ltd unless otherwise stated.
You must not use our trade marks, logos, branding or other distinctive identifiers without our prior written permission, except where such use is permitted by law.
29. Educational Content
Guidra may provide educational resources, programmes, videos, workbooks, templates, exercises and similar materials.
Unless expressly stated otherwise, these materials are licensed to you for your own personal use.
You must not reproduce, publish, distribute, sell, teach from, sublicense or commercially exploit these materials without our prior written permission.
Nothing in this clause prevents you from applying the ideas, knowledge or skills that you have personally learned through Guidra.
30. Feedback
We welcome suggestions, ideas and feedback about Guidra.
If you choose to provide feedback, suggestions or ideas relating to our Services, you agree that we may use, develop, modify and incorporate those suggestions without any obligation to compensate you or obtain further permission.
You remain the owner of any separate intellectual property that you already held before providing the feedback.
31. Copyright Concerns
We respect the intellectual property rights of others and expect our users to do the same.
If you believe that content available through Guidra infringes your copyright or other intellectual property rights, you should notify us using the contact details published on our website.
We may investigate the matter and, where appropriate, remove or restrict access to the relevant content while the issue is being considered.
32. Third-Party Intellectual Property
Some content, software, trade marks or other materials made available through Guidra may belong to third parties.
Those materials remain the property of their respective owners and may be subject to separate licence terms or legal protections.
Nothing in these Terms transfers ownership of any third-party intellectual property to you or to Guidra.
Part G – Liability & Disclaimers
33. No Guarantees
33.1 Nature of the Services
Guidra is designed to support reflection, planning, personal growth, leadership and intentional decision-making.
While we aim to provide high-quality Services, we do not guarantee that using Guidra will result in any particular personal, professional, financial, educational, health or business outcome.
Your progress and results depend on many factors beyond our control, including your own decisions, effort and circumstances.
33.2 Service Availability
We aim to keep Guidra available and operating reliably.
However, we do not guarantee that the Services will always be uninterrupted, error-free, secure or available at all times.
Maintenance, technical issues, third-party failures, security incidents or events outside our reasonable control may affect the availability of the Services.
33.3 Feature Availability
We do not guarantee that any particular feature, AI capability, coach, community, programme, event, subscription tier or other Service will remain available indefinitely.
Guidra may introduce, modify, suspend or discontinue Services as described in these Terms.
34. Third-Party Services
Some parts of Guidra rely upon third-party providers.
These may include, for example:
- payment providers;
- cloud hosting providers;
- notification services;
- authentication providers;
- AI providers;
- mobile operating systems;
- application marketplaces; and
- other technology providers.
While we choose our providers carefully, we are not responsible for interruptions, errors or failures that arise solely from third-party services beyond our reasonable control.
35. Your Decisions
You remain responsible for the decisions you make and the actions you take.
Guidra, its employees, coaches, consultants, AI systems and educational content support your thinking and development but do not make decisions on your behalf.
You accept responsibility for decisions relating to your personal life, family, relationships, education, career, employment, business, investments, finances, health and any other matters that remain under your control.
36. Limitation of Liability
36.1 Nothing in these Terms limits or excludes liability where doing so would be unlawful.
In particular, nothing excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.
36.2 Subject to Clause 36.1
To the fullest extent permitted by law, Guidra will not be liable for any indirect, incidental, special, consequential or punitive loss or damage arising from your use of the Services.
This includes, without limitation, loss of profits, business opportunities, goodwill, anticipated savings or data, except where such liability cannot lawfully be excluded.
36.3 Maximum Liability
Where we are legally liable to you, our total liability arising from any single claim or series of related claims relating to the Services will not exceed the greater of:
- the total amount you have paid directly to Guidra for the relevant Service during the twelve months immediately preceding the event giving rise to the claim; or
- £100.
This limitation applies only to the extent permitted by applicable law.
37. Force Majeure
Guidra will not be responsible for any delay or failure to perform our obligations where the delay or failure results from events beyond our reasonable control.
These may include, for example:
- natural disasters;
- severe weather;
- fire;
- war;
- terrorism;
- civil unrest;
- industrial disputes;
- failures of telecommunications or internet infrastructure;
- government action;
- epidemics or pandemics; or
- failures of third-party infrastructure or suppliers beyond our reasonable control.
Where reasonably possible, we will seek to minimise disruption and resume normal operation as soon as practicable.
38. Your Responsibility to Comply with the Law
You are responsible for ensuring that your use of Guidra complies with the laws and regulations that apply to you.
You are also responsible for obtaining any professional advice that your circumstances require.
39. Consumer Rights
Nothing in these Terms is intended to restrict or remove any rights that you have under applicable consumer protection laws.
Where the law gives you rights that cannot legally be excluded or limited, those rights continue to apply regardless of these Terms.
Part H – Ending the Relationship
40. Ending Your Account
40.1 Closing Your Account
You may choose to close your Guidra account at any time by following the account closure process made available within Guidra or by contacting us.
Closing your account will end your access to the Services associated with that account, subject to these Terms and any applicable service-specific terms.
40.2 Effect on Subscriptions
Closing your account does not automatically entitle you to a refund.
If you have an active subscription, you should cancel it before its next renewal date if you do not wish it to renew.
Where a subscription has already been paid for, access will normally continue until the end of the current billing period unless your account is suspended or terminated under these Terms.
40.3 Outstanding Obligations
Closing your account does not remove any obligation to pay amounts that became due before your account was closed.
Any agreed instalment payments or other contractual payment obligations remain payable in accordance with the agreement under which they arose.
41. Suspension or Termination by Guidra
41.1 Our Right to Suspend or Terminate
We may suspend, restrict or terminate your access to some or all of the Services where we reasonably believe it is necessary to:
- protect the safety of our users, coaches, staff or communities;
- investigate suspected breaches of these Terms;
- enforce our Community Standards or other policies;
- prevent fraud, abuse or unlawful activity;
- protect the security or integrity of Guidra; or
- comply with legal or regulatory obligations.
Where appropriate, we may do so immediately and without prior notice.
41.2 Removal from Services
Where your account is suspended or terminated, we may also remove your access to:
- communities;
- circles;
- coaching programmes;
- consulting engagements;
- courses;
- workshops;
- retreats;
- events; and
- any other Guidra Services.
Access to these Services is dependent upon continued compliance with these Terms and our Community Standards.
41.3 Refusing Future Access
Where we reasonably consider it necessary to protect Guidra or its community, we may refuse future applications to join Guidra, attend our events, participate in our communities or purchase particular Services.
42. Effect of Termination
42.1 Loss of Access
When your account is closed or terminated, you may lose access to your account and to any subscriptions, communities, programmes, events or other Services associated with that account, subject to any applicable service-specific terms.
42.2 Private Content
Where your private content is protected by your privacy key, access to that content depends upon your continued possession of the relevant privacy key and recovery methods.
Guidra cannot recover encrypted private content where the privacy key has been lost.
42.3 Data Retention
Following closure or termination of your account, we may retain certain information where required by law or where reasonably necessary to:
- comply with legal obligations;
- resolve disputes;
- prevent fraud or abuse;
- enforce these Terms; or
- establish, exercise or defend legal claims.
Our handling of personal data is described in our Privacy Policy.
43. Surviving Terms
The following provisions, together with any other provisions that by their nature are intended to survive, will continue to apply after your account has been closed or your use of Guidra has ended:
- payment obligations that arose before termination;
- intellectual property rights;
- ownership of content;
- licences granted under these Terms where reasonably necessary;
- privacy and data retention provisions;
- liability limitations;
- dispute resolution provisions; and
- any other rights or obligations intended to survive termination.
44. Rejoining Guidra
Where your account has been voluntarily closed, you may create a new account in the future, subject to these Terms and any eligibility requirements then in force.
Where your account has been suspended or permanently terminated for breach of these Terms or our Community Standards, you may not create another account or attempt to access Guidra without our prior written permission.
We reserve the right to suspend or remove any new account created in breach of this clause.
Part I – General Legal Terms
45. Changes to the Services
Guidra will continue to develop over time.
We may introduce new Services, improve existing Services, modify features, discontinue features or change how our Services are delivered.
Where changes materially affect your rights or obligations under these Terms, we will provide notice where required by applicable law.
46. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or your use of Guidra, shall be governed by the laws of England and Wales.
You and Guidra agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute or claim, except where applicable consumer protection laws provide otherwise.
47. Consumer Rights
Nothing in these Terms is intended to exclude, restrict or limit any rights that cannot lawfully be excluded under applicable consumer protection laws.
Where mandatory consumer rights apply, those rights take precedence over any inconsistent provision of these Terms.
48. Entire Agreement
These Terms, together with any policies and service-specific terms incorporated by reference, constitute the entire agreement between you and Guidra regarding your use of the Services.
They replace any previous agreements, understandings or representations relating to the same subject matter.
49. Severability
If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be interpreted, modified or, if necessary, severed only to the minimum extent required.
The remainder of these Terms will continue in full force and effect.
50. Waiver
If Guidra does not immediately exercise or enforce any right or provision under these Terms, this does not mean that we have waived that right.
Any waiver must be made expressly and in writing.
51. Assignment
You may not assign, transfer or otherwise dispose of your rights or obligations under these Terms without our prior written consent.
Guidra may assign, transfer or novate these Terms, or any rights or obligations under them, as part of a business reorganisation, merger, acquisition, sale of assets or similar corporate transaction, provided that doing so does not reduce your legal rights under these Terms.
52. No Partnership or Employment Relationship
Nothing in these Terms creates any partnership, joint venture, agency, employment or similar relationship between you and Guidra.
Unless expressly stated otherwise, coaches, consultants and other professionals providing services through Guidra are not employees of Guidra.
53. Notices
Where these Terms require us to give you notice, we may do so by:
- email;
- notifications within Guidra;
- publishing information on our website; or
- any other reasonable method of communication.
It is your responsibility to keep your contact details reasonably up to date.

55. Interpretation
In these Terms:
- headings are included for convenience only and do not affect interpretation;
- words such as “including”, “includes” and “for example” are illustrative and do not limit the meaning of the words that precede them;
- references to the singular include the plural and vice versa where the context requires; and
- references to one gender include all genders.
56. Survival
Any provision of these Terms which, by its nature or purpose, is intended to continue after your use of Guidra ends will survive the termination or expiry of these Terms.
This includes, without limitation, provisions relating to payment obligations, intellectual property, licences, privacy, liability, dispute resolution and governing law.
